These terms and conditions apply to the use of all Keyhowl apps.

1. Introduction

These Terms and Conditions ("Terms") govern the use of the Keyhowl platform, operated by Keyhowl LTD, a company incorporated and based in Sofia, Bulgaria.

Keyhowl is a business-to-business (B2B) software service designed for escape room business owners. It provides a web-based platform for managing reservations, customers, staff, and other operational tasks. These Terms apply to all users of the platform, including account owners, game masters, and users with read-only access.

The service is accessible through our web application and also includes a reservation form component, which our clients may embed on their own websites. This embedded component interacts with the Keyhowl API to facilitate online bookings by the end customers of the escape room business. However, Keyhowl is not intended for direct use by consumers or end-users of escape room services.

Account access is granted via an onboarding process initiated by Keyhowl. We create an account for each new client and provide a registration link to access a 30-day free trial. Once registered, users are invited into the company account we set up on their behalf.

By accessing or using Keyhowl, you agree to be bound by these Terms. If you do not agree, you may not use the service.

These Terms apply to all users, regardless of their country of residence or operation. Keyhowl LTD offers its services internationally and makes no restrictions based on location or legal status.

2. Target audience

The Keyhowl platform is exclusively intended for business use (B2B). It is designed for and made available only to escape room business owners and their authorised staff (such as game masters or administrative personnel). It is not intended for individual consumers or personal use.

By using Keyhowl, you confirm that you are acting in a business capacity and not as a private individual or consumer under applicable laws.

Keyhowl LTD offers its services internationally, without general geographic restriction. However, the use of the platform is prohibited in jurisdictions that are subject to United States trade sanctions or embargoes, or where such use would violate applicable export control or trade laws.

3. Content rights

Unless otherwise stated, all content available on or through the Keyhowl platform - including, but not limited to, software code, interfaces, design, text, graphics, logos, images, and underlying technology - is the intellectual property of Keyhowl LTD or its licensors, and is protected by applicable copyright, trademark, and other intellectual property laws.

All rights are reserved. This means that, unless explicitly authorised by Keyhowl LTD:

  • Users may not copy, reproduce, distribute, modify, display, perform, transmit, publish, or create derivative works from any part of the platform;

  • Reverse engineering, decompiling, or attempting to extract the source code is prohibited;

  • The service and its content may not be used for any purpose other than the intended business use by registered clients.

Any content that users upload into their own Keyhowl account (such as logos, room descriptions, images, or customer data) remains the property of the respective user or their company. By uploading such content, users grant Keyhowl LTD a non-exclusive, royalty-free license to use that content solely for the purpose of providing the service.

The Keyhowl platform and its contents are not public and are intended only for use by registered businesses and their authorised staff.

4. Account Registration and Termination

4.1. Account Registration

Access to the Keyhowl platform requires a registered account. Account registration is mandatory in order to use any part of the service. Accounts are created through a controlled onboarding process initiated by Keyhowl LTD, typically starting with a 30-day free trial.

Only businesses operating escape room services, or their authorised staff (such as game masters or administrators), are permitted to register. By registering an account, you confirm that:
  • You are acting on behalf of a business;
  • You are authorised to enter into agreements on the business’s behalf;
  • The information provided during registration is accurate and kept up to date.

Each user account is tied to a specific company account and may have different roles assigned (e.g., Owner, Game Master, or Read-Only Access). Users must not share login credentials or allow unauthorised access.

4.2. Termination

Accounts may be terminated by:
  • Contacting Keyhowl LTD via email or the official support channel;
  • Or (where applicable) using the interface provided within the application.

If you have an active subscription, account termination will take effect at the end of the current billing cycle. No refunds will be provided for the unused portion of the subscription term.

4.3. Suspension and Deletion

Keyhowl LTD reserves the right to suspend or delete accounts in the following cases:
  • Violation of these Terms;
  • Illegal activity or abuse of the platform;
  • Prolonged inactivity following the end of a trial or subscription period;
  • Required by law or regulation.

We may, but are not obligated to, provide advance notice before suspension or deletion unless legally required.

5. Business Model, Payments, and User Rights

5.1. Type of Offering

Keyhowl provides digital services and digital content on a subscription basis. The platform is intended solely for business use (B2B) by escape room operators and their staff.

5.2. Technical Requirements

To use the Keyhowl platform, users must have access to a commonly used and up-to-date browser (e.g., Chrome, Firefox, Safari) and a stable internet connection. Access is provided via the Keyhowl web application; no additional software installation is required.

5.3. Purchasing Process and Prices

Keyhowl offers various subscription plans. Pricing for each plan is fixed and clearly indicated prior to purchase, typically billed monthly. Subscription access is provided upon successful account registration and activation of the chosen plan.

We may offer promotional discounts or free trials from time to time. All discounts and promotions are subject to specific terms published at the time of the offer.

5.4. Payment Terms

All payments are processed automatically using the method selected during sign-up. We do not offer payments by installments and do not accept virtual currencies. By subscribing to Keyhowl, users agree to automated recurring billing for the duration of their subscription.

Because Keyhowl is a subscription-based digital service for business use, no refunds are provided once a subscription term has begun.

Use of the service requires providing basic business and personal data (e.g., company name, user name, email, billing information). This data is processed in accordance with our Privacy Policy.

5.5. Subscriptions and Renewals

Keyhowl subscriptions are open-ended and automatically renew at the end of each billing period (typically monthly), unless cancelled beforehand. By default, subscriptions remain active until explicitly cancelled.

If a user submits a termination notice, their subscription will continue until the end of the current billing cycle. Access will then be revoked, and no further charges will be applied. No partial refunds are provided.

Users are encouraged to cancel in advance of renewal if they do not wish to continue. We do not send renewal reminders, but cancellation is always possible through the platform or by contacting support.

5.6. Free Trial

Keyhowl offers a 30-day free trial to new customers. The trial does not result in an automatic purchase. If no subscription is selected before the end of the trial, the account may be deactivated or deleted.

5.7. Offers and Discounts

We may offer time-limited discounts, vouchers, or promotional codes. Terms and conditions specific to each promotion will be communicated via the Keyhowl website, platform interface, or email.

5.8. Affiliation

We may operate a referral or affiliate program, allowing existing users to refer others in exchange for certain benefits. Program details, conditions, and rewards are published on our platform or communicated directly to participants.

5.9. User Rights (EU/UK/US)

Because Keyhowl is a B2B platform intended exclusively for business users, consumer protection laws such as the EU Right of Withdrawal, UK Right to Cancel, and equivalent laws in the United States do not apply.

Users accessing the platform from the United States acknowledge that the service is provided for commercial use only, and not intended for personal, household, or consumer purposes.

If any user qualifies as a consumer under local law and uses Keyhowl in a non-business capacity (which is against our intended use), they acknowledge and agree that:

  • The right of withdrawal or cancellation does not apply once digital service access has begun;
  • No refunds are issued for partial use or early cancellation.

To the maximum extent permitted by applicable law, users in the United States waive their right to participate in class actions and agree to resolve disputes on an individual basis.

5.10. Optional Cancellation Right

We offer users the ability to cancel their subscription at any time, effective at the end of the current billing period. This right is granted in addition to - not in replacement of - any statutory rights users may have.

5.11. After-Sales Assistance

We provide support and assistance through email or chat as part of your subscription. This includes help with onboarding, feature usage, and technical troubleshooting.

5.12. Dispute Resolution

If you have a concern or complaint about the service, please contact us directly. We prefer to resolve issues amicably and promptly.

If you are based in the EU, Norway, Iceland, or Liechtenstein, you may also use the Online Dispute Resolution (ODR) platform.

6. Common Provisions

6.1. Privacy Policy

For information on how we process personal data, please refer to our Privacy Policy.

6.2. Service Interruptions

We strive to ensure the availability of the Keyhowl platform, but we reserve the right to interrupt service for maintenance or upgrades. Where possible, we will provide at least 3 days' notice for scheduled interruptions.

6.3. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law principles.

Any dispute arising from or related to the use of the Keyhowl platform shall be subject to the exclusive jurisdiction of the courts located in Sofia, Bulgaria.

This does not apply to consumers in the EU, UK, Switzerland, Norway, or Iceland, to the extent that mandatory consumer protection provisions require otherwise.

6.4. Changes to These Terms

We may update these Terms from time to time. When we do, we will indicate the date of the latest revision at the top of this page.

Where legally required, we will provide notice at least 15 days before the changes take effect.

Notice will be provided by posting the updated Terms on our website and, where appropriate, via email.

If you do not agree with the updated Terms, you should stop using the service before the effective date. Continued use after the effective date constitutes acceptance.

For users in France: you will be notified at least one month prior to the changes taking effect and have a right to terminate the agreement up to four months after the changes have become effective.

6.5. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

6.6. Survival

Certain provisions of these Terms, including but not limited to limitations of liability, dispute resolution, and intellectual property rights, shall survive the termination or expiration of your use of the Keyhowl platform.

6.7. Waiver of Class Actions (US Users)

To the fullest extent permitted by law, users located in the United States agree to waive any right to participate in class actions, collective actions, or representative actions related to these Terms or the use of the Keyhowl service.

7. Acceptable Use

You agree to use the Keyhowl platform only in accordance with applicable laws and these Terms. You may not use the platform in any way that could harm, disrupt, or interfere with our systems or other users.

In particular, you agree not to:

  • Use the platform for any unlawful, fraudulent, or malicious purpose;
  • Attempt to gain unauthorised access to other accounts or systems connected to Keyhowl;
  • Reverse engineer, decompile, or attempt to extract the source code of the platform;
  • Upload or distribute any content that is harmful, offensive, or violates the rights of others;
  • Use the service to send spam or unsolicited communications;
  • Interfere with the normal operation of the service or circumvent any security measures;
  • Resell, sublicense, or make the platform available to third parties without our written consent.

We reserve the right to suspend or terminate access to the platform if we determine, at our sole discretion, that a user has violated these acceptable use guidelines.

8. Disclaimers of Warranties, Limitations of Liability, and Indemnity

8.1. Disclaimers (General)

The Keyhowl platform is provided on an "as is" and "as available" basis. While we aim for high availability and reliability, we do not guarantee that the service will be uninterrupted, error-free, or meet your specific business needs.

You are solely responsible for how you use the platform and the outcomes of that use, including any business decisions or actions taken as a result.

8.2. Limitations of Liability (EU/UK)

To the extent permitted by applicable law, Keyhowl LTD shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, lost data, or loss of business opportunity.

Nothing in these Terms shall limit or exclude liability where such limitation is not allowed under applicable law, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

8.3. Limitations of Liability (US)

To the maximum extent permitted under applicable US law, Keyhowl LTD disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Keyhowl LTD be liable for any damages exceeding the amount you paid to us for the service in the twelve (12) months preceding the claim.

8.4. Limitations of Liability (Australia)

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (ACL) or any other applicable legislation that cannot be excluded, restricted, or modified by agreement.

To the extent permitted by law, our liability for any breach of such a guarantee is limited to the resupply of the services or the cost of having them resupplied.

8.5. Indemnity

You agree to indemnify and hold harmless Keyhowl LTD, its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with your use of the service, your violation of these Terms, or your violation of any third-party rights.

8.6. No Agency

No joint venture, partnership, employment, or agency relationship exists between you and Keyhowl LTD as a result of these Terms or your use of the platform.

9. API Usage

Certain features of the Keyhowl platform, including the embedded reservation form and other integrations, operate via our API. By using these features, you agree that API access and usage are subject to these Terms.

You may not use the API in a way that compromises the performance, stability, or security of the service. We reserve the right to limit or revoke API access at our sole discretion, particularly in cases of abuse, misuse, or violation of these Terms.

To the extent permitted by applicable law, Keyhowl LTD disclaims any liability arising from the use or misuse of the API, including data loss, service disruption, or other indirect damages.

10. Final Provisions

These Terms constitute the entire agreement between you and Keyhowl LTD regarding your use of the platform and supersede all prior agreements, whether oral or written.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision under these Terms will not be considered a waiver of those rights.

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Keyhowl LTD. We may assign these Terms without restriction.
